AceTech Digital Services Terms

These Terms govern AceTech websites, applications, products, APIs, and digital services that link to them.

“AceTech” means AceTech Digital, LLC. A service-specific supplement, accepted order, statement of work, enterprise agreement, marketplace rule, or checkout disclosure may add to these Terms and controls for the subject it specifically addresses.

1. Eligibility and acceptance

You may use a service only if you can form a binding agreement and meet its minimum age. If you use a service for an organization, you represent that you are authorized to bind that organization.

2. Accounts and security

You must provide accurate account information, protect credentials, and promptly report suspected unauthorized access. You are responsible for activity under your account except to the extent caused by AceTech’s breach of an applicable obligation. AceTech may suspend access reasonably necessary to protect users, systems, or legal rights.

3. Service license

Subject to these Terms and any applicable service-specific terms, AceTech grants a limited, revocable, nonexclusive, nontransferable right to use the service for its intended purpose. No ownership or intellectual-property right is transferred.

4. User content

As between you and AceTech, you retain ownership of content you lawfully submit, subject to third-party rights. You grant AceTech and its approved providers the limited rights necessary to host, process, transmit, display, and return that content to operate and secure the service. You represent that you have the rights and permissions needed to submit content and direct its processing.

5. Acceptable use

You may not use a service to violate law or another person’s rights; distribute or host malware; gain unauthorized access; interfere with operation or security; evade limits; misrepresent identity or affiliation; scrape data without authorization; run automated spam operations; generate or distribute prohibited content; or reverse engineer, copy, resell, or exploit a service except as allowed by law or written permission.

6. AI features

AI-generated or AI-assisted output may be inaccurate, incomplete, non-unique, or unsuitable for a particular use. You are responsible for reviewing output and must not rely on it as legal, tax, medical, financial, or other regulated professional advice.

7. Fees, subscriptions, taxes, refunds, and cancellation

Prices, billing periods, renewals, usage limits, taxes, cancellation methods, refunds, and payment providers are disclosed by the applicable service or transaction. You authorize disclosed charges. Marketplace purchases may be governed by marketplace billing rules. Non-waivable rights under applicable law remain unaffected.

8. Third-party services

Integrations, marketplaces, identity providers, payment providers, AI providers, and linked destinations may have their own terms. AceTech is not responsible for a third party’s service except to the extent required by law or an express written AceTech agreement.

9. Ownership and feedback

AceTech and its licensors own the services, software, design, branding, documentation, and other materials excluding user content. If you voluntarily provide feedback, AceTech may use it without restriction or compensation, provided this does not override a separate confidentiality agreement.

10. Service changes and termination

AceTech may update, modify, suspend, deprecate, or discontinue features or a service at any time, with or without prior notice, subject to applicable purchase terms and law. You may stop using a service at any time, but account deletion, cancellation, and refund consequences are controlled by the applicable service and transaction terms.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ACETECH DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACETECH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

UNLESS SERVICE-SPECIFIC TERMS OR A SIGNED AGREEMENT STATE OTHERWISE, ACETECH’S AGGREGATE LIABILITY ARISING FROM A SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT PAID TO ACETECH FOR THAT SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limitations do not apply where prohibited by law.

13. Governing law

Unless service-specific terms or a signed agreement states otherwise, these Terms are governed by California law, without regard to conflict-of-law rules. Disputes must be brought in a court with jurisdiction in Shasta County, California, unless applicable law requires otherwise.

14. General terms

If a provision is unenforceable, it will be modified to the minimum extent necessary or severed. The remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without AceTech’s written consent; AceTech may assign them in connection with a reorganization or transfer of the relevant business.
